IMA Terms of Service
Effective as of 22 of February 2024

General

By utilizing IMA's application programming interfaces, software, tools, data, documentation, or website (collectively referred to as "Services"), you expressly consent to abide by the following terms and conditions (the "Terms") as well as all relevant laws and regulations. By agreeing to these Terms, you confirm that you are at least 18 years old and legally capable of entering into a binding agreement. Unless otherwise indicated, the terms used herein and in any related agreements or notices, including our Privacy Policy, shall have the following meanings: 
• "Client", “User”, “You”, and “Your” refer to the individual using the Services and accepting the Terms. 
• "IMA", “Ourselves”, “Our”, “We”, and "Us", refer to our company, IMA, Inc. • “Representatives” includes IMA’s staff, advisors, affiliates, agents, and suppliers. 
• “Party”, “Parties”, or refers to both the Client and ourselves, or either the Client or ourselves. 
Any use of the aforementioned terminology or other words in singular, plural, capitalization, and/or gender-specific terms are interchangeable and shall be construed accordingly.
 

 Entire Agreement 

These Terms, along with any policies incorporated herein, constitute the complete agreement between you and IMA regarding access to or use of the Services and supersede any prior or contemporaneous agreements, communications, or understandings on that matter, except for any Service-specific terms of use or applicable Enterprise agreements. No agency, partnership, joint venture, or other relationship is created or intended by your access to or use of the Services. You are not permitted to assign or delegate any rights or obligations under these Terms, and any attempted assignment or delegation shall be deemed null and void. However, we reserve the right to assign these Terms in connection with a merger, acquisition, sale of assets, or corporate reorganization to any affiliate.
 

License to Your Content

These Terms, along with any policies incorporated herein, constitute the complete agreement between you and IMA regarding access to or use of the Services and supersede any prior or contemporaneous agreements, communications, or understandings on that matter, except for any Service-specific terms of use or applicable Enterprise agreements. Term and Termination

These Terms become effective upon your initial access to the Services and will remain in effect until terminated. The subscription term is one month, during which clients must utilize all the minutes purchased for video generation. You may terminate these Terms at any time by discontinuing the use of the Services and deleting your account, if applicable. IMA reserves the right to terminate your access to the Services immediately and without prior notice in the event of a violation of these Terms. Additionally, IMA may terminate these Terms with 30 days’ notice. Upon termination, IMA may delete Your Content, and you are required to cease use of any materials obtained from the Services.
 

Confidentiality

You may receive access to Confidential Information through the Services and agree to use it only as necessary to access or use the Services. You will protect Confidential Information with reasonable care. If required by law to disclose Confidential Information, you will provide prior notice to IMA and take reasonable efforts to limit sharing

Revisions and Errors

The Services may contain errors and may be subject to changes without notice.

Redistribution or Republication

Redistribution or republication of any part of the Services is prohibited without express written consent.

Third-Party Material 

We are not responsible for third-party content linked to or accessible from the Services.

Intellectual Property

The Services contain intellectual property owned by IMA and/or our Representatives. You are prohibited from exploiting any part of the Services without prior written consent.

Copyright Complaints

Please notify us if you believe your intellectual property rights have been infringed.

Indemnification

You agree to indemnify and hold us harmless from any claims arising out of your breach of these Terms or violation of applicable law.

Force Majeure

We shall not be liable for failure to perform obligations due to events beyond our control.

Waiver

Failure to enforce any provision of these Terms shall not constitute a waiver.

Notification of Changes

We reserve the right to change these Terms, and your continued use of the Services constitutes acceptance of such changes.

Export Controls

You agree to comply with all export laws and regulations.
